A transaction bible is a complete, permanent record of a deal. As well as the signed documents, it often includes ancillary documents, reports and other material the client may need to refer back to years later.
The challenge
Because a bible is so comprehensive, building it by hand can take an associate the best part of a day. Documents have to be gathered from across the deal, the latest versions confirmed and the whole set indexed. Late documents mean renumbering and rebuilding, and on long-running matters material from early in the deal is easy to miss.
How Legatics helps
Build the bible as you go
Start the binder early in the matter and import documents from your lists as they're signed or finalised. By the time the deal closes, the bible is almost complete.
Bring in everything from the matter
Import documents from any list in the matter, such as the conditions precedent checklist, closing agenda or due diligence tracker, and upload anything else directly, such as reports or correspondence.
A structure that's easy to navigate
Use sections and sub-sections to organise the bible logically, for example by document type, party or stage of the deal. The index reflects this structure automatically.
Late documents aren't a problem
Add a document at any point and regenerate the bible. The index and numbering update automatically, with no manual renumbering.
Versions for different readers
Duplicate the bible to create a version for a particular party, with certain documents removed, while keeping your master copy intact.
How different practice areas use it
Project finance
At the end of the conditions precedent process, the bible can be built straight from the documents already collected in the checklist. This gives sponsors and lenders a full record of the finance documents, project contracts, direct agreements and security package, without anyone having to find and rename the latest versions by hand.
Leveraged finance
A branded completion bible can be produced as soon as the documents are signed. If a late document arrives, it's added and the index is renumbered when you regenerate.
Development and construction
A development can take two years or more to complete. Building the bible as documents are signed means it's ready at practical completion, rather than being pieced together at the end.
Restructuring
A bible of executed documents, board resolutions and legal opinions gives the client a permanent record that supports their reporting after the restructuring.
