Closing set

Learn how to produce a professional, indexed closing set in minutes using binders in Legatics

A closing set is the final, indexed collection of signed documents that you deliver to the client and the other parties once a deal has closed. It's often the last piece of work on a deal, and one of the most visible.

The challenge

Assembling a closing set by hand usually falls to a junior lawyer at the end of the deal, when everyone is most stretched. Executed documents have to be found in emails and the document management system, renamed, put in order and indexed in Word. If a document arrives late or changes, the index has to be renumbered and the set rebuilt.

How Legatics helps

Import documents straight from your lists

If you've tracked documents in a closing agenda or another list, import them directly into the binder. You choose which file column to import from, so you can pull in the executed versions only, and you can keep the list's section structure if you want to.

Organise with sections

Group documents into sections, such as transaction documents, ancillary documents and completion deliverables, and reorder them with drag and drop.

An index created for you

Legatics builds the index automatically in either a table or contents style. Applying your firm's Word template gives every closing set the same professional, branded finish.

Preview before you generate

Check the index and order of documents before you create the final file, so you can catch anything missing.

Regenerate in one click

Generate the closing set as a single PDF or ZIP file. If a late document arrives or something changes, update the binder and regenerate it with the index renumbered automatically.

Share it your way

Download the closing set, export it to iManage or NetDocuments, or give the client and other parties access in Legatics.

How different practice areas use it

Mergers and acquisitions

The share purchase agreement, disclosure letter, board minutes and completion deliverables come together in one indexed set, ready to share with every party within minutes of completion.

Banking and finance

The facility agreement, security documents, conditions precedent documents and legal opinions can be compiled into one consistent set for the lender and borrower.

Real estate

Whether it's a single acquisition or a portfolio of properties, all the completion documents can be organised and indexed in one place, with a section for each property if needed.

Capital markets

The executed transaction documents and closing certificates for a bond or share issuance can be compiled into one set for the issuer, managers and their advisers.
