Due diligence data room

Learn how to give buyers, lenders and their advisers secure, controlled access to the documents they need to review

A due diligence data room gives buyers, lenders or other reviewers controlled access to the documents they need to examine. It's often the first thing a counterparty sees, so it needs to be well organised, secure and easy to navigate.

The challenge

Due diligence often involves several bidders or reviewers, each entitled to see different information. Sharing documents by email or a generic file-sharing tool makes it hard to control access, see who is reviewing what, or keep a reliable record of what was disclosed.

How Legatics helps

Build the data room in minutes

Import an existing folder structure from a ZIP file or an Excel spreadsheet, and Legatics creates the folders and uploads the documents for you.

A numbered structure that stays tidy

Folders and documents are numbered automatically, and the numbering updates as you reorganise. Reviewers can cite documents by number in their questions and reports.

Different access for different parties

Set permissions for the whole data room, a single folder or an individual document. Choose whether each person can view, upload, download or edit, so each bidder or adviser sees only what they're entitled to.

Protect sensitive material

Apply watermarks that show each viewer's details on the documents they open, and turn off browser printing for extra protection.

See who is reviewing what

Activity tracking shows who has viewed or downloaded each document, giving you insight into where reviewers are focusing.

Run questions and answers alongside

Keep a questions and answers list in the same matter, so questions can refer directly to documents in the data room.

Keep a record of what was disclosed

Export the data room index at any point, for example to annex to the transaction documents.

How different practice areas use it

Mergers and acquisitions

Sell-side teams can share financial, legal and operational records with several prospective buyers, each with their own level of access. Buy-side teams can see at a glance which documents have been added and track their review against the index.

Project finance

Lenders and their technical, insurance and legal advisers can review project contracts, permits and reports in one secure place.

Real estate

On a portfolio sale, a folder for each property keeps title, lease and property information organised, so buyers can find what they need quickly.

Restructuring

Lender-side teams can review an existing security package across several companies and jurisdictions, with strict control over who has access.
