Due diligence tracker

Learn how to organise a due diligence review, record findings and flag key issues with a due diligence tracker in Legatics

A due diligence tracker helps you divide up a review, record what you find and flag anything that needs attention. It gives the whole team, including the supervising partner, a clear view of how the review is progressing.

The challenge

Due diligence is often split across several reviewers, each working from their own notes or a tab in a shared spreadsheet. Consolidating findings for the report takes time, and it's hard to see how far each area of the review has progressed or where the significant issues are.

How Legatics helps

Split the review into workstreams

Use sections to divide the review by area, such as corporate, commercial contracts, employment, real estate and intellectual property. Each section can have its own reviewer and its own status.

Record findings consistently

Add columns for the information you need from every review, such as a summary of the finding, the risk level and a recommended action. Dropdown columns keep categories consistent across reviewers, so findings like "change of control" or "red flag" are easy to filter.

Keep internal discussion private

Comments let reviewers discuss findings in context. Internal comment threads can be kept visible to your own team only, so sensitive discussion isn't shared with the client or other parties.

Control who sees each section

Permissions let you give specialist teams access only to the sections they're responsible for, such as employment or real estate.

Turn findings into a report

Filter the tracker to the findings you need, such as high-risk issues only, and export them as a starting point for the due diligence report.

How different practice areas use it

Mergers and acquisitions

A buy-side team can split the review across every workstream, assign reviewers to each one and categorise issues as they come up. The partner can see at a glance which areas are complete and which issues need to be raised with the client.

Real estate acquisitions

Pre-contract due diligence covers title, searches, lease reviews and replies to enquiries. Tracking each item with an owner and status shows exactly what still needs to be done before exchange.

Restructuring

Lender-side teams often need to review an existing security package across several companies and jurisdictions. A due diligence tracker keeps that review organised and shows what's still outstanding.

Employment

When an employment team supports a corporate deal, they can run their employee due diligence within the main deal matter, with access only to the employment sections.
